1. Acceptance of Terms By creating an account, accessing, or using the website and services provided by Vemory.ai ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services Vemory.ai provides AI-powered meeting assistants, transcription, summarization, and related productivity tools (the "Services"). We offer the Services under different plans, including a Free Tier and various Paid Subscriptions.

3. User Responsibilities & Recording Compliance (CRITICAL)

  • Consent and Legality: You acknowledge that you are solely responsible for complying with all applicable laws regarding the recording of conversations (e.g., wiretapping laws, GDPR, CCPA). You represent and warrant that you will obtain all necessary consents from meeting participants prior to recording or transcribing any conversation using Vemory.ai.
  • Indemnification: You agree to indemnify, defend, and hold Vemory.ai harmless from any claims, liabilities, or damages arising from your failure to obtain such consent or your violation of any recording laws.

4. Subscriptions, Fees, and Payment

  • Paid Plans: Certain features are only available through paid subscriptions ("Paid Plans"). By subscribing, you agree to pay the fees and taxes indicated at the time of purchase.
  • Billing Cycle: Subscription fees are billed in advance on a recurring basis (monthly or annually). Your subscription will automatically renew unless you cancel it before the end of the current billing period.
  • Cancellation: You may cancel your subscription at any time through your account settings. The cancellation will take effect the day after the last day of the current subscription period.
  • No Refunds: Except as required by applicable law, payments are non-refundable.

5. Intellectual Property & Data Ownership

  • Your Content: You retain full ownership of your audio recordings, transcripts, summaries, and any other data you upload or generate ("User Content").
  • License to Us: You grant Vemory.ai a limited, worldwide, non-exclusive license to access and process your User Content solely for the purpose of providing the Services to you (e.g., to generate the summary you requested).
  • Platform Rights: All rights, title, and interest in and to the Vemory.ai platform, software, and AI algorithms remain the exclusive property of the Company.

6. AI Accuracy Disclaimer The Services utilize artificial intelligence. You acknowledge that AI-generated output (including transcripts and summaries) may contain errors, inaccuracies, or "hallucinations." Vemory.ai does not guarantee the accuracy of the output. You should verify all information independently before relying on it.

7. Prohibited Uses You strictly agree NOT to:

  • Use the Services to infringe upon the privacy rights of others.
  • Reverse engineer the Services or attempt to derive the source code or underlying models.
  • Use the Services for any illegal purpose or to transmit harmful code.

8. Limitation of Liability To the maximum extent permitted by law, Vemory.ai shall not be liable for any indirect, incidental, special, or consequential damages. In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim.
